ListenUp Terms of Service

- These Terms of Service and any updated versions govern your access to and use of the ListenUp platform, website, application, and related services operated by ListenUp, collectively referred to as the "Service". Please read them carefully, especially provisions that explain account responsibility, paid plans, refunds, user content, AI output, and usage restrictions.
- By accessing or using ListenUp, you agree to be bound by these Terms and all applicable laws and regulations. If you do not agree to these Terms, you may not access or use the Service.
- Your use of the Service is also governed by our Privacy Policy and by additional product rules, plan terms, usage limits, and feature-specific notices that we may publish in the Service.
- We may update these Terms to reflect product, legal, operational, or business changes. Updated Terms become effective when published unless a different effective date is stated.
- We may notify you through the Service, email, or other reasonable means when material changes are made. Your continued use of the Service after the updated Terms become effective means you accept the revised Terms.
1. Service Description
ListenUp is an AI content creation platform that helps users collect, upload, transform, organize, and generate content across formats. The Service may include explainer videos, slide decks, AI podcasts, text-to-speech, voice cloning, images, and related creative workflows.
- Save, upload, or provide articles, links, documents, prompts, audio, images, and other materials that you have the right to use.
- Generate videos, images, audio, slide decks, speech, podcasts, and other outputs from your prompts, files, links, or other inputs.
- Access AI-generated versions, summaries, scripts, scenes, narration, and related creative outputs across supported devices.
- Organize, manage, export, and reuse projects, saved materials, generated assets, and content collections.
- Use voice cloning and speech synthesis only with voice samples that you own, control, or are clearly authorized to process.
2. Account Registration and Security
2.1 To use certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during registration and to keep that information updated.
2.2 You must be at least 13 years old, or the minimum age required in your jurisdiction, to use the Service. If you are under the age of majority in your jurisdiction, you may use the Service only with permission and supervision from a parent or legal guardian.
2.3 You are responsible for maintaining the confidentiality of your account credentials. You are responsible for all activities that occur under your account, whether or not those activities are authorized by you. You must notify ListenUp support promptly if you believe your account has been compromised.
2.4 We may suspend, restrict, or terminate your account or access to the Service when reasonably necessary, including in the following circumstances:
- You violate these Terms, applicable law, product rules, or usage policies.
- Your activity may harm ListenUp, other users, third parties, or the security, availability, or integrity of the Service.
- Your content or activity may infringe third-party rights, including intellectual property, privacy, publicity, or contractual rights.
- We must respond to legal, regulatory, law enforcement, security, technical, operational, or compliance requirements.
When permanent suspension or termination occurs, we may provide notice and a reasonable opportunity to export available content where practical. We may withhold notice if doing so would create risk, violate law, compromise security, or harm users, ListenUp, or third parties.
After account termination, your access to the Service and related data may stop immediately. Some data may not be recoverable due to technical, operational, legal, or compliance limitations.
2.5 Account Deletion
If you no longer wish to use the Service, you may contact ListenUp support to request account deletion. After verification, we will delete, de-identify, or retain information according to applicable law, security requirements, dispute needs, and operational limitations. The deletion process may take up to 30 days.
2.6 Enterprise Accounts
If you use ListenUp on behalf of an enterprise, organization, or other legal entity, you represent that you are authorized to bind that entity to these Terms. The organization is responsible for all account use, workspace activity, and content submitted through its users or administrators.
3. User Content
3.1 Prompts, text, audio, links, documents, images, voice samples, and other materials that you provide to the Service are "Input". Audio, images, videos, slides, scripts, speech, text, and other materials generated by the Service are "Output". Input and Output are collectively referred to as "Content".
3.2 You retain the rights you hold in your Input and Output, subject to these Terms, your plan, and applicable law. You grant ListenUp a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to host, process, reproduce, transform, transmit, display, and use Content as needed to provide, maintain, secure, support, and improve the Service.
When you use the Service, you represent and warrant that:
- You have all rights, consents, licenses, and authorizations required to submit Input and use Output.
- Your Content does not violate applicable law, these Terms, our Privacy Policy, product rules, or third-party rights.
- Your Content does not require ListenUp to obtain additional authorization from, or make payment to, any third party.
- You are responsible for the legality, accuracy, suitability, and consequences of saving, generating, publishing, exporting, or using Content.
- You understand that AI-generated Output may be inaccurate, incomplete, inappropriate, or unsuitable for a particular purpose.
3.3 If you upload, submit, record, or otherwise provide voice samples, audio recordings, or voice data for voice cloning or speech synthesis, you grant ListenUp and its technical service providers the rights needed to process those materials solely for providing, maintaining, securing, and improving the requested voice features.
- Processing, converting, caching, analyzing, and generating synthetic voice outputs corresponding to your authorized voice samples.
- Performing technical operations such as audio analysis, feature extraction, synthesis parameter generation, quality control, and abuse prevention.
- Temporarily storing voice samples, intermediate data, and generated results during your use of the Service to maintain availability, reliability, and performance.
You represent and warrant that you own or control all rights in the voice samples, or have obtained all necessary consent and authorization, and that the samples do not infringe copyright, voice likeness rights, privacy rights, publicity rights, contractual rights, or other third-party rights.
4. Intellectual Property Rights
4.1 ListenUp and its licensors own the Service, including software, interfaces, workflows, models, templates, designs, trademarks, documentation, and related technology. Except as expressly allowed, you may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, or create derivative works from the Service.
4.2 Subject to your compliance with these Terms and your applicable plan, rights to use Output generated from your Input are determined by your subscription status, purchase terms, feature rules, and applicable law.
- Paid users may use eligible Output for lawful commercial purposes according to the purchased plan and applicable feature rules.
- Free users may use eligible Output for lawful personal purposes unless a feature, watermark, plan, or policy states otherwise.
- You are responsible for confirming that your use of Output does not infringe rights, violate law, or breach third-party terms.
4.3 Users retain rights in their Content, while ListenUp retains all rights in the Service and related systems. ListenUp may remove content, restrict generation, or suspend accounts that infringe rights or violate these Terms.
4.4 Voice outputs are generated by technical systems and do not transfer ownership of underlying voice synthesis models, algorithms, infrastructure, or related technology. You may use authorized synthetic voice outputs only for lawful and properly consented purposes.
4.5 We respect intellectual property rights. When we receive a valid infringement notice, we may remove or disable access to allegedly infringing content, suspend repeat infringers, preserve evidence, or cooperate with rights holders and authorities as appropriate.
4.6 If you believe your rights have been infringed, contact ListenUp support with a written notice that includes:
- Identification of the rights or protected work at issue.
- Evidence that you own the rights or are authorized to act for the rights holder.
- Identification of the allegedly infringing content or activity.
- Your contact information and a statement that the content lacks authorization.
5. Acceptable Use Policy
5.1 You agree not to use the Service to violate law, infringe rights, harm others, mislead people, bypass safeguards, disrupt the Service, or create prohibited content.
- Do not upload or generate unlawful, defamatory, obscene, pornographic, violent, hateful, harassing, intimidating, discriminatory, fraudulent, exploitative, or rights-infringing content.
- Do not harm minors, impersonate others, mislead the public, or misuse another person's personal information, likeness, voice, or identity.
- Do not use Output for medical, legal, investment, safety, employment, credit, insurance, law enforcement, or other high-impact decisions without qualified review and legal authority.
- Do not use the Service to violate intellectual property, privacy, publicity, contractual, data protection, consumer protection, or platform rights.
5.2 Technical Restrictions
You agree not to:
- Circumvent security, moderation, rate limits, payment controls, access controls, or technical safeguards.
- Access, search, scrape, crawl, harvest, or meta-search the Service except through interfaces we make available.
- Reverse engineer, decompile, disassemble, copy, frame, mirror, or attempt to obtain source code, model weights, prompts, system instructions, or internal structures.
- Use malware, spyware, bots, credential stuffing, automated abuse, excessive requests, or other methods that disrupt security, integrity, or availability.
- Remove, obscure, alter, or misrepresent trademarks, intellectual property notices, watermarks, AI identifiers, metadata, or required disclosures.
- Rent, lease, sublicense, resell, commercialize, or provide managed access to the Service except as expressly permitted by ListenUp.
5.3 ListenUp may add visible or invisible AI identifiers, watermarks, metadata, disclosure labels, or similar notices to generated content where appropriate or required. You must not delete, alter, forge, or misrepresent those identifiers in a misleading way.
5.4 You may not use voice cloning or speech synthesis to impersonate others, mislead people, violate privacy, commit fraud, or create audio that lacks required consent. ListenUp may suspend, delete, restrict, or report content and accounts suspected of violating this policy.
6. Privacy
6.1 Voice samples and similar materials may be sensitive information. ListenUp processes such data only as needed to provide, secure, maintain, and improve voice cloning and speech synthesis features. We use reasonable safeguards such as access controls, encryption where appropriate, logging, and abuse prevention.
6.2 Our Privacy Policy is incorporated into these Terms by reference and explains how ListenUp collects, uses, shares, protects, and retains information about you and your use of ListenUp.
7. Subscription and Payments
7.1 ListenUp may offer free plans, paid subscriptions, credit packs, and other paid features. Available features, renewal terms, usage limits, credits, pricing, taxes, and payment methods are presented at purchase and may vary by plan, region, platform, promotion, or channel.
Payment methods and processing are governed by the applicable payment provider terms. By purchasing a paid plan, credits, or other paid features, you authorize the payment processor to charge your selected payment method for all applicable amounts.
7.2 ListenUp may adjust pricing, plans, or features from time to time. Unless otherwise stated, subscription price changes take effect at your next renewal or at the time shown in the purchase flow. If you do not agree with a change, you may cancel before the new price takes effect.
7.3 Subscriptions may automatically renew unless canceled before the renewal date. Renewal periods, cancellation methods, and access after cancellation depend on the plan, payment channel, and terms presented at purchase.
8. Refund Policy
8.1 Because subscriptions, credits, and generated digital features are virtual services, payments are final and non-refundable once access, credits, service capacity, or digital delivery has been provided, except where required by applicable law or expressly stated at purchase.
8.2 In exceptional circumstances, ListenUp may review partial refund requests at its sole discretion. Approved refunds may be calculated based on unused value, excluding consumed credits, taxes, discounts, promotions, platform fees, or other non-refundable amounts, and processing time depends on the payment provider.
8.3 We may deny refund requests in the following circumstances:
- The account has been restricted, suspended, or terminated due to policy violations, abuse, fraud, chargeback risk, or prohibited activity.
- The same or similar product, service, credit pack, or subscription has previously been refunded.
- The purchase used a promotion, coupon, discount, trial, campaign, or bundled offer that limits refunds.
- Credits were consumed, service capacity was delivered, outputs were generated, or the request was submitted outside the applicable period.
To prevent abuse, excessive refund activity, or payment fraud, ListenUp may refuse or limit refund requests at its discretion.
9. Limitation of Liability
9.1 To the maximum extent permitted by law, ListenUp will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, data, goodwill, content, business opportunities, or other intangible losses arising from your use of or inability to use the Service.
9.2 To the maximum extent permitted by law, ListenUp's total liability arising from or related to the Service will be limited to the amount you paid to ListenUp for the Service during the 12 months before the event giving rise to the claim.
9.3 The Service and Output are provided according to current AI technology and operational availability. ListenUp does not guarantee that:
- The Service will meet every requirement or produce your expected result.
- The Service will be uninterrupted, secure, available, timely, or error-free.
- Information, Output, recommendations, or generated materials obtained through the Service will be accurate, current, complete, lawful, or suitable for a particular purpose.
Based on business, technical, security, legal, or operational needs, ListenUp may modify, suspend, restrict, or discontinue features at any time.
10. Artificial Intelligence Disclaimer
Artificial intelligence and machine learning systems are complex, probabilistic, and continually evolving. You acknowledge and agree that:
- Output may be inaccurate, incomplete, outdated, biased, misleading, offensive, or unsuitable for your intended use.
- You are responsible for independently reviewing Output and evaluating its accuracy, legality, safety, quality, and suitability.
- You may not use Output as a substitute for qualified professional advice or for high-impact decisions affecting legal, financial, medical, safety, employment, credit, insurance, housing, or similar interests.
- Output is generated by algorithms and does not represent the opinions, commitments, or factual assertions of ListenUp.
11. Governing Law
11.1 These Terms are governed by the laws of Hong Kong, without regard to conflict of laws rules, unless mandatory consumer protection law in your jurisdiction requires otherwise.
11.2 Any dispute arising from or relating to these Terms or the Service will be submitted to the Hong Kong International Arbitration Centre for arbitration under its rules then in effect. The seat of arbitration will be Hong Kong, the language of arbitration will be English, and the award will be final and binding.
